These terms govern your use of grcmigrate.com and the free tools, assessments, guides, and software we provide (together, "the Site"). The Site is operated by GRCMigrate LLC, a Wyoming limited liability company ("GRC Migrate," "we," "us"). By using the Site, you agree to these terms. If you don't agree, don't use the Site.

1. What we are (and aren't)

GRC Migrate provides independent, educational information and tools about GRC platform selection, migration, and compliance program decisions. Everything on this Site is general information, not professional advice. We are not a law firm, accounting firm, licensed auditor, or certified security assessor, and nothing here creates a professional-client relationship. Decisions about your compliance program, platform contracts, or security posture are yours, and you should involve qualified professionals where the stakes warrant it.

2. How we make money (independence disclosure)

The Site and its tools are free for the companies that use them. We are compensated through referral arrangements with vetted, independent implementation and consulting partners — a fee when a partner accepts an introduction we make, and a share of services revenue on engagements that result. We are never paid by software vendors. No platform (Vanta, Drata, Secureframe, Archer, or any other) pays us commissions, referral fees, or placement fees, and our assessments and content are not influenced by vendor compensation. If we introduce you to a partner, we will tell you that we're compensated by that partner.

3. Assessments, calculators, and estimates

Our assessments, calculators, quizzes, and readiness tools produce estimates based on the information you provide and general industry patterns. They are starting points for your own analysis, not guarantees. Actual costs, timelines, migration outcomes, and platform fit depend on facts specific to your organization that no online tool can fully capture. Platform pricing referenced on the Site reflects publicly reported ranges and industry estimates; verify current pricing with vendors directly.

4. The Migration Readiness Scan and other software

Software we distribute (including the Migration Readiness Scan and the GRCMigrate migration tool) is provided "as is," without warranty of any kind, express or implied, including fitness for a particular purpose. The scan runs locally on your machine using credentials you supply; you are responsible for using appropriately scoped (read-only) credentials and for complying with your agreements with your platform vendors. We describe the scan's privacy behavior on our scan page; that description reflects the software's design, and the --log-requests flag lets you verify its network behavior yourself. Software offered in demo form uses fictional data and demonstrates workflow, not production performance.

5. Introductions to partners

If you request an introduction to an implementation partner, we will make a good-faith effort to match you with a partner suited to your situation. Partners are independent businesses, not our employees, agents, or subcontractors. We don't supervise their work, and we are not a party to any agreement you sign with them. While we vet partners before working with them, you are responsible for your own diligence, and any engagement, its terms, and its outcomes are strictly between you and the partner.

6. Your data

Form submissions, assessment responses, and scan summaries you choose to share are handled as described at the point of collection and in our Privacy Policy. Scan summary statistics shared with your consent contribute, in anonymized form, to our migration benchmark research; anonymized means stripped of your identity, company, and any record-level data. We do not sell personal information.

7. Intellectual property

The Site's content, tools, design, and software are ours or licensed to us. You may use the Site for your own internal business evaluation, print and share our guides and reports internally with attribution intact, and use output from our tools for your own purposes. You may not scrape the Site at scale, republish substantial portions commercially, remove attribution, or use our name or marks to imply endorsement without written permission.

8. Acceptable use

Don't use the Site or our software to violate law, infringe others' rights, probe or disrupt our infrastructure, submit false information to obtain introductions, or misrepresent your identity or authority.

9. Disclaimers and limitation of liability

To the fullest extent permitted by law: the Site and all tools are provided as-is and as-available; we disclaim all warranties; and we are not liable for indirect, incidental, consequential, or special damages, or for lost profits, lost data, or business interruption, arising from your use of the Site, our tools, our content, or any partner engagement. Our total aggregate liability for any claim relating to the Site or our services will not exceed one hundred dollars ($100) or the amount you paid us in the twelve months before the claim, whichever is greater. Some jurisdictions limit these disclaimers; where they do, they apply to the maximum extent permitted.

10. Changes, termination, and general terms

We may update these terms by posting a revised version with a new "last updated" date; continued use after changes is acceptance. We may suspend access for violations of these terms. These terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules, and any dispute will be resolved in the state or federal courts located in Wyoming, unless applicable law requires otherwise. If any provision is unenforceable, the rest remain in effect. These terms are the entire agreement between you and us regarding the Site.
